Partnership Programme Terms & Conditions
1. General
The present Terms and Conditions regulate the Aheadworks Partnership Programme (the "Programme") operated by Aheadworks ("Aheadworks", "we", "our", "us"), registered office: 12495 S Parkland Bay Trail, Parkland, FL 33076, USA, and constitute a legally binding agreement between Aheadworks and the individual or entity joining the Programme (the "Partner", "you").
Please read the following article carefully, as it represents a legally binding agreement between Partner and Aheadworks. By submitting your application and thereafter participating in the Programme, you agree to comply with all of the terms and conditions of this Partnership Agreement. Aheadworks may suspend or terminate your participation at any time, with or without notice, in the event of a breach of these Terms or if your activity may be harmful to Aheadworks, its customers, or third parties.
For the purposes of these Terms: "Merchant" means an end customer referred, managed, or served by a Partner; and "Affiliated Merchant" means a Merchant whose Aheadworks account is linked to the Partner through the Programme.
2. Referral Tracking
Aheadworks provides the Partner with a unique affiliate link to promote Aheadworks products and services. Aheadworks will track and attribute eligible purchases and renewals made by Affiliated Merchants who access Aheadworks via the Partner's affiliate link and/or link their Aheadworks account to the Partner's agency account ("Affiliated Merchants").
Purchases made during the tracking period and/or by properly linked Affiliated Merchants are attributed to the Partner and recorded in the Partner dashboard.
The Partner must not modify or interfere with tracking links or attribution mechanisms. Aheadworks is not responsible for tracking or reporting errors caused by Partner modifications, browser settings, third-party blockers, or similar factors. We reserve the right to verify attribution and to revoke benefits in cases of abuse, misrepresentation, or technical misuse.
3. Affiliate Fees and Payouts
The Partner is entitled to receive a payout ("Commission Rate") for qualifying purchases and subscription renewals made by its Affiliated Merchants under the Programme. The applicable commission rate depends on the Partner's tier level and Programme rules published by Aheadworks.
All payouts are made in US Dollars unless otherwise determined by Aheadworks. Payouts will be made using the payout method specified by the Partner in the Partner account. The Partner is responsible for providing accurate payment details and is solely responsible for any delays or failures caused by incorrect information.
In case of any suspicious activity from the Partner’s part, Aheadworks has the right to hold commission payments to verify transactions. Aheadworks retains the right to recalculate or revoke commissions in case of any illegal activity.
4. Advertisements
Aheadworks provides the Partner with affiliate links, granting the Partner the right to use them solely for promoting Aheadworks products and services within the Partnership Programme. This right terminates immediately upon termination of the Partner's participation in the Programme.
The Partner is solely responsible for its marketing activities and must ensure that all promotions are professional and comply with applicable laws and regulations, including advertising disclosure requirements, anti-spam rules, and data protection laws.
Aheadworks may, without prior warning, require the Partner to remove, change, or stop using any advertisements, claims, or promotional materials at Aheadworks' sole discretion.
5. Programme Benefits:
Subject to eligibility, Partner tier rules, and availability, Programme benefits may include commission on qualifying initial purchases and subscription renewals by Affiliated Merchants, free extension data migration, free Demo license granting access to the entire catalog of Aheadworks Magento 2 extensions, access to Partner communication channels (Google Chat), limited-term discounted access to selected Aheadworks SaaS applications, and promotional offers for Affiliated Merchants. Aheadworks may change, suspend, or discontinue any Programme benefit or promotional offer at any time. Where a promotional offer is specified with dates or conditions, it applies only for the stated period from February 4, 2026 to February 4, 2027. Eligible Affiliated Merchants may purchase new annual subscriptions for Aheadworks Magento extensions for USD 1 for the first year; renewals are charged at standard pricing unless otherwise agreed in writing.
License & usage rules: All software licenses remain the intellectual property of Aheadworks and are granted under the applicable End-User License Agreement (EULA). The Partner must not resell, sublicense, assign, distribute, or otherwise make available Aheadworks products or services without prior written consent from Aheadworks.
The demo license can be used for testing and demo purposes only and is not intended for production installation onto Merchants’ stores.
6. Termination
The Partner may terminate participation in the Programme at any time by providing prior notice to Aheadworks through the Partner chat channel or by contacting Aheadworks support.
Aheadworks may suspend or terminate the Partner's participation in the Programme, in its sole discretion, for any breach of these Terms, suspected fraud or misuse, or for any activity that may be harmful to Aheadworks, its business, its customers, or third parties.
Upon termination, the Partner will be deprived of access to Programme data and benefits, and will lose all potential commissions.
7. Party Relationships
Aheadworks and the Partner are independent entities. Nothing stated in this Agreement will create any partnership or joint venture relationship between these parties. The Partner is not authorized to act on behalf of Aheadworks or to bind Aheadworks in any manner.
8. Liability Limitation
The Partner participates in the Programme at its own risk. Aheadworks provides the Programme and related materials "as is" and disclaims all warranties, whether express, implied, or statutory.
Aheadworks is not responsible for any damages or economic losses resulting from the use of the Partnership Program. Should any part of the Partnership Program bring damage or inconvenience to the Partner, the Partner assumes all responsibility for it.
The Partner will indemnify and hold harmless Aheadworks, its directors, officers, employees, contractors, and affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from the Partner's marketing activities, breach of these Terms, or violation of applicable law.
9. Amendments
Aheadworks may, in its sole discretion, change or modify these Terms and/or Programme rules at any time. Any changes will become effective upon publication on the Aheadworks website and/or in the Partner Portal.
If any modification is unacceptable to the Partner, the Partner may terminate participation in the Programme. Continued participation after the effective date of changes constitutes acceptance of the updated Terms.
10. Miscellaneous
The Partner must be at least 18 years old and have the authority to enter into these Terms on behalf of the entity it represents.
The Partner guarantees that all activity related to the Programme is compliant with applicable laws, regulations, and requirements of public authorities. Aheadworks may terminate participation if the Partner's actions violate such requirements.
These Terms represent the entire understanding between the parties regarding the Programme and supersede any prior agreements or statements relating to the Programme, unless expressly stated otherwise in writing by Aheadworks.
Any dispute arising in relation to this Partnership Agreement shall be exclusively resolved in the Courts of Law.
